    Acceptance of Terms

    By accessing and using Stageworks ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service.

    Description of Service

    Stageworks provides a comprehensive platform for managing events, ticketing, venues, and patron relationships. The Service includes tools for event creation, box office management, order processing, and related features designed for arts and entertainment organizations.

    User Accounts

    When creating an account with us, you agree to:

    • Provide accurate, current, and complete information
    • Maintain and promptly update your account information
    • Maintain the security of your password and account
    • Accept responsibility for all activities that occur under your account
    • Notify us immediately of any unauthorized use of your account

    Acceptable Use

    You agree not to:

    • Use the Service for any unlawful purpose or in violation of any applicable laws
    • Impersonate any person or entity or misrepresent your affiliation
    • Interfere with or disrupt the Service or servers or networks connected to the Service
    • Attempt to gain unauthorized access to any portion of the Service
    • Use the Service to transmit any viruses, malware, or other malicious code
    • Scrape, data mine, or use automated means to access the Service without permission
    • Use the Service in any manner that could damage, disable, or impair the Service

    Intellectual Property

    The Service and its original content, features, and functionality are owned by Stageworks and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

    User Content

    You retain ownership of any content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service to you.

    You represent and warrant that you own or have the necessary rights to all content you submit and that such content does not violate any third-party rights.

    Payment Terms

    If you purchase a subscription or services through Stageworks:

    • You agree to pay all fees associated with your subscription or purchase
    • All fees are non-refundable unless otherwise specified
    • We reserve the right to change our pricing with advance notice
    • You authorize us to charge your payment method on a recurring basis for subscription fees

    Debit Authorization

    By using the Stageworks platform, you authorize Stageworks and its payment processor, Stripe, to initiate electronic debit entries to your connected bank account to recover any negative balance that arises in your Stripe connected account. Negative balances may occur when refunds are issued to customers and the corresponding transfer reversal exceeds your available Stripe balance. Debits will be initiated in the amount necessary to bring your Stripe account balance to zero.

    Insufficient Funds and Collections

    If a debit authorized under these Terms is returned or rejected by your financial institution for any reason — including but not limited to insufficient funds, account closure, or a dispute — Stageworks reserves the right to:

    1. Charge a returned payment fee of $35 per failed debit attempt, which will be deducted from future payouts;
    2. Withhold future payouts to your connected account until all outstanding balances, including any fees, are fully recovered;
    3. Suspend or terminate your access to the Stageworks platform pending resolution of the outstanding balance;
    4. Pursue collection of any outstanding amounts through any lawful means, including referral to a third-party collections agency or the initiation of legal proceedings.

    You remain liable for any outstanding negative balance and all associated recovery costs, including reasonable attorneys' fees and court costs where permitted by applicable law, regardless of any termination of your Stageworks account.

    Termination

    We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

    Disclaimer of Warranties

    The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

    Limitation of Liability

    To the maximum extent permitted by law, Stageworks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

    Indemnification

    You agree to indemnify, defend, and hold harmless Stageworks and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

    Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Stageworks operates, without regard to its conflict of law provisions.

    Changes to Terms

    We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
